User Generated Content Terms of Service

These User Generated Content Terms of Service apply to reviews, testimonials, comments, ratings, feedback, suggestions, images, videos, messages, posts, form submissions, social media interactions, public submissions, and other content submitted to or made available through websites, platforms, profiles, forms, support channels, communities, or public channels operated or managed by SiteEngine Web Services LLC, a Florida limited liability company, doing business as SiteEngine, North Georgia Web, and North Florida Web (“SiteEngine,” “we,” “us,” or “our”).

These terms supplement the SiteEngine Terms of Service, User Agreement, Acceptable Use Policy, Privacy Notice, Copyright / DMCA Policy, and any applicable quote, invoice, proposal, statement of work, or signed agreement.

If there is a conflict between these terms and a signed written agreement between you and SiteEngine, the signed written agreement controls for that specific engagement.

1. User Generated Content

“User generated content” means content that you or another user submits, uploads, posts, publishes, sends, displays, provides, tags, links, comments on, reviews, rates, or otherwise makes available to SiteEngine or through SiteEngine-managed channels.

User generated content may include reviews, testimonials, comments, messages, ratings, feedback, suggestions, photographs, videos, screenshots, social media posts, form submissions, support communications, public comments, profile information, and other materials.

2. Your Responsibility

You are solely responsible for user generated content that you submit or authorize others to submit on your behalf.

You may not submit content that is unlawful, infringing, defamatory, abusive, threatening, harassing, deceptive, fraudulent, obscene, hateful, exploitative, invasive of privacy, confidential, false, misleading, or otherwise harmful.

You may not submit content that violates another person’s copyright, trademark, trade secret, privacy rights, publicity rights, contractual rights, confidentiality rights, or other legal rights.

You may not submit another person’s personal information, image, likeness, private communications, confidential information, or proprietary material unless you have authority to do so.

3. Rights You Must Have

By submitting user generated content, you represent and warrant that you have all rights, licenses, permissions, consents, releases, and authority necessary to submit the content and allow SiteEngine to use it as described in these terms.

If the content includes the name, image, likeness, voice, testimonial, review, statement, work, trademark, logo, photograph, video, or personal information of another person or business, you represent that you have permission to provide and authorize use of that content.

You are responsible for any claims, disputes, losses, costs, or damages arising from user generated content you submit or authorize.

4. License to SiteEngine

By submitting user generated content, you grant SiteEngine a worldwide, royalty-free, fully paid, non-exclusive, transferable, sublicensable license to use, reproduce, publish, display, distribute, transmit, modify, edit, excerpt, translate, adapt, create derivative works from, and otherwise use the content for business, marketing, support, operational, legal, and promotional purposes in any media or format, subject to applicable privacy law.

This license allows SiteEngine to use user generated content on websites, landing pages, portfolios, case studies, proposals, social media, advertisements, emails, sales materials, support materials, documentation, reports, and other business materials.

This license continues even if you stop using SiteEngine services, unless applicable law requires otherwise or SiteEngine agrees in writing to remove the content.

5. Reviews and Testimonials

If you submit a review, rating, testimonial, endorsement, recommendation, case-study statement, or similar content, you authorize SiteEngine to use that content for marketing, reputation, sales, portfolio, and promotional purposes.

SiteEngine may identify you by name, business name, role, website, city, state, logo, profile image, or other information you provide, unless you request otherwise in writing and SiteEngine agrees or applicable law requires removal.

SiteEngine may edit reviews or testimonials for length, clarity, formatting, grammar, spelling, or presentation, provided the edit does not materially change the substance of your statement.

You agree that reviews and testimonials you submit reflect your honest opinions, findings, beliefs, or experiences.

6. Feedback and Suggestions

If you provide ideas, suggestions, improvements, requests, bug reports, feature requests, workflows, examples, recommendations, or other feedback, SiteEngine may use that feedback without restriction or compensation.

Feedback does not create confidentiality obligations unless SiteEngine separately agrees in writing.

SiteEngine may develop, improve, modify, market, or commercialize products, services, features, processes, tools, content, or workflows based on feedback without owing you compensation, credit, ownership, or approval rights.

7. Public Comments and Social Media

If you interact with SiteEngine on social media, review platforms, public profiles, comment sections, forums, directories, or other public channels, your content may be visible to other people and may be subject to the terms and privacy policies of those platforms.

SiteEngine may respond to, quote, repost, share, screenshot, link to, or otherwise use public comments, reviews, posts, tags, mentions, and social interactions for business, support, reputation, legal, and marketing purposes, subject to applicable law.

You should not post confidential information, private information, login credentials, payment information, legal claims, sensitive personal information, or account-specific support details in public channels.

8. Prohibited Content

You may not submit, upload, post, transmit, or otherwise provide user generated content that:

  • Is unlawful, fraudulent, deceptive, false, or misleading.
  • Infringes copyrights, trademarks, trade secrets, privacy rights, publicity rights, or other rights.
  • Contains malware, phishing links, spam, malicious code, or abusive scripts.
  • Contains threats, harassment, abuse, hate, exploitation, or discriminatory content.
  • Contains confidential, private, sensitive, or personal information without authorization.
  • Impersonates another person or business.
  • Misrepresents your relationship with SiteEngine or another party.
  • Contains regulated claims, medical claims, financial claims, legal claims, or professional claims without required substantiation or authorization.
  • Violates SiteEngine policies, third-party platform rules, or applicable law.

9. Moderation and Removal

SiteEngine may review, edit, moderate, reject, remove, hide, disable, restrict, or decline to publish user generated content at any time and for any reason.

SiteEngine is not obligated to monitor user generated content and is not obligated to preserve user generated content.

SiteEngine may remove or restrict content if we believe it violates these terms, another SiteEngine policy, a third-party platform rule, a court order, legal requirement, intellectual-property complaint, privacy complaint, security concern, or business need.

10. No Obligation to Publish

Submitting content does not require SiteEngine to publish, display, respond to, maintain, or use it.

SiteEngine may choose not to publish user generated content even if the content does not violate these terms.

SiteEngine may remove previously published content without notice.

11. Privacy and Personal Information

User generated content may contain personal information. SiteEngine’s handling of personal information is described in the SiteEngine Privacy Notice.

Do not submit personal information about another person unless you have authorization to do so.

Do not submit sensitive personal information, payment information, passwords, private keys, confidential business information, health information, legal information, or other sensitive data through public channels.

12. Client-Provided Website Content

If you are a SiteEngine customer and provide content for use on your website, landing page, advertisement, form, email, SMS, campaign, or other project, you are responsible for that content.

You represent that client-provided website content is accurate, lawful, authorized, properly licensed, and suitable for publication.

SiteEngine is not responsible for copyright claims, trademark claims, privacy claims, publicity-rights claims, advertising claims, consumer-protection claims, accessibility claims, regulatory claims, or other disputes arising from client-provided or client-approved content.

13. AI-Assisted Content

If user generated content or client-provided content includes AI-generated or AI-assisted material, you are responsible for reviewing, approving, and verifying that material before submitting or publishing it.

You are responsible for ensuring that AI-generated or AI-assisted material does not infringe third-party rights, contain false claims, violate privacy rights, mislead users, or violate laws applicable to your business.

SiteEngine does not guarantee that AI-generated or AI-assisted material is unique, non-infringing, accurate, legally compliant, suitable for trademark registration, or suitable for copyright registration.

14. Copyright Complaints

If you believe user generated content infringes your copyright, you may submit a copyright notice under the SiteEngine Copyright / DMCA Policy.

SiteEngine may remove or disable content in response to copyright complaints, legal notices, or other intellectual-property concerns.

SiteEngine may terminate or restrict accounts or services of repeat infringers where appropriate.

15. Reporting Problem Content

If you believe user generated content violates these terms, infringes rights, discloses private information, or creates legal or security risk, contact SiteEngine using the information below.

Please include the affected URL, a description of the content, the reason for your concern, your contact information, and any supporting documentation.

16. Removal Requests

You may request removal of user generated content you submitted by contacting SiteEngine.

SiteEngine may not be able to remove content already distributed, archived, cached, quoted, screenshotted, indexed, syndicated, or used in materials already produced.

SiteEngine may retain records of removed content where needed for legal, security, fraud-prevention, dispute-resolution, compliance, or legitimate business purposes.

17. No Compensation

Unless a signed written agreement states otherwise, you are not entitled to payment, royalties, licensing fees, attribution, approval rights, or other compensation for user generated content or feedback submitted to SiteEngine.

SiteEngine may use user generated content and feedback as permitted by these terms without paying compensation.

18. No Confidentiality

User generated content submitted through public channels, review platforms, forms, feedback tools, testimonials, or social media should not be treated as confidential.

Do not submit confidential or proprietary information unless SiteEngine has agreed in writing to receive it as confidential.

SiteEngine is not responsible for disclosure of confidential information that you submit through public or inappropriate channels.

19. Indemnification

You agree to defend, indemnify, and hold harmless SiteEngine, its owners, officers, employees, contractors, agents, affiliates, vendors, and representatives from and against claims, damages, losses, liabilities, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:

  • User generated content you submit or authorize.
  • Client-provided content you submit or approve.
  • Your violation of these terms.
  • Your violation of another person’s rights.
  • Your violation of law, regulation, platform rule, or SiteEngine policy.
  • Claims that your content is unlawful, infringing, misleading, defamatory, private, confidential, or unauthorized.

20. Changes to These Terms

SiteEngine may update these User Generated Content Terms of Service from time to time. Updated versions will be posted on our website with a revised “Last updated” date.

Your continued submission of user generated content or continued use of SiteEngine services after updated terms are posted means you accept the updated terms.
