Affiliate Agreement

This Affiliate Agreement (“Agreement”) governs participation in the SiteEngine affiliate, referral, partner, or commission program operated by SiteEngine Web Services LLC, a Florida limited liability company, doing business as SiteEngine, North Georgia Web, and North Florida Web (“SiteEngine,” “we,” “us,” or “our”).

This Agreement applies to any person, business, website owner, agency, contractor, marketer, publisher, influencer, consultant, or other party that applies for, is approved for, or participates in a SiteEngine affiliate or referral program (“Affiliate,” “you,” or “your”).

This Agreement supplements the SiteEngine Terms of Service, User Agreement, Acceptable Use Policy, Anti-SPAM Policy, Email and Messaging Terms, Privacy Notice, and any applicable affiliate dashboard terms, platform terms, written approval, commission schedule, or signed agreement.

By applying for, accepting, or participating in a SiteEngine affiliate program, you agree to this Agreement.

1. Program Overview

The SiteEngine affiliate program allows approved Affiliates to refer potential customers to SiteEngine in exchange for commissions on qualifying purchases, subject to this Agreement and the applicable commission schedule.

SiteEngine may provide affiliate links, tracking URLs, coupon codes, referral codes, landing pages, banners, graphics, text links, or other approved promotional materials.

SiteEngine may operate the affiliate program directly or through a third-party affiliate, referral, tracking, payment, or partner platform.

2. Definitions

Affiliate means a person, business, or entity approved by SiteEngine to participate in the affiliate program.

Affiliate Link means a tracking link, referral URL, coupon code, landing page, or other approved tracking mechanism provided or approved by SiteEngine.

Affiliate Dashboard means the SiteEngine or third-party dashboard, portal, platform, or reporting system used to track referrals, commissions, payment information, or affiliate activity.

Commission means the amount SiteEngine agrees to pay for a Qualified Purchase, subject to this Agreement, the applicable commission schedule, and any withholding, reversal, threshold, or disqualification rules.

Qualified Purchase means a purchase by a new and unique customer referred to SiteEngine through an approved Affiliate Link that satisfies all requirements of this Agreement and is not excluded, refunded, charged back, cancelled, fraudulent, unpaid, or otherwise disqualified.

Referred Customer means a new and unique customer who reaches SiteEngine through an approved Affiliate Link and purchases eligible SiteEngine services.

SiteEngine Services means the services offered by SiteEngine, including hosting, managed WordPress services, web design, website maintenance, domain services, digital marketing, professional services, and related services.

3. Application and Approval

To participate, you must submit a completed affiliate application or otherwise receive written approval from SiteEngine.

SiteEngine may accept, reject, suspend, or remove any Affiliate at any time, with or without notice, in SiteEngine’s sole discretion.

SiteEngine may reject or remove an Affiliate based on unsuitable content, fraud risk, brand risk, legal risk, advertising practices, poor-quality traffic, misleading claims, prohibited content, prior abuse, excessive cancellations, or any violation of this Agreement or SiteEngine policies.

If SiteEngine rejects or removes you from the program, you may not reapply under another name, website, business, account, domain, or identity without SiteEngine’s written permission.

4. Affiliate Responsibilities

You are responsible for your website, advertisements, content, email messages, social media posts, landing pages, disclosures, claims, tracking links, promotional methods, compliance obligations, tax information, and communications.

You must promote SiteEngine honestly, accurately, lawfully, and professionally.

You may not make false, misleading, exaggerated, unsupported, or unauthorized claims about SiteEngine, SiteEngine Services, pricing, discounts, availability, performance, uptime, rankings, revenue, results, support, or customer outcomes.

You must comply with all applicable laws, advertising rules, privacy laws, email laws, SMS laws, platform policies, search-engine rules, social-media platform rules, and SiteEngine policies.

5. FTC and Advertising Disclosures

You must clearly and conspicuously disclose your material connection to SiteEngine when you promote, review, recommend, rank, endorse, or refer to SiteEngine in exchange for potential compensation.

Affiliate disclosures must be placed near the affiliate link, recommendation, endorsement, review, ranking, or claim. Disclosures must be easy to see, easy to understand, and not hidden in a footer, terms page, tooltip, or separate page.

Examples of acceptable disclosure language may include:

  • “I may earn a commission if you purchase through this link.”
  • “This page contains affiliate links. I may receive compensation if you buy from SiteEngine.”
  • “As a SiteEngine affiliate, I may earn from qualifying purchases.”

You are responsible for reviewing and complying with current Federal Trade Commission endorsement guidance and any other advertising disclosure laws or platform rules that apply to your promotional activity.

SiteEngine may withhold commissions, require changes, suspend your account, or terminate your participation if your disclosures are inadequate or non-compliant.

6. Approved Promotional Methods

Subject to this Agreement, you may promote SiteEngine using approved links, approved banners, approved text, approved referral codes, your website, blog posts, business referrals, social media, videos, email to opted-in recipients, or other promotional methods approved by SiteEngine.

All promotional activity must comply with this Agreement, the SiteEngine Acceptable Use Policy, Anti-SPAM Policy, Email and Messaging Terms, and applicable law.

SiteEngine may require you to remove, revise, pause, or discontinue any promotional content or method.

7. Prohibited Promotional Methods

You may not:

  • Use spam, unsolicited bulk email, purchased lists, harvested lists, scraped lists, or unauthorized messaging.
  • Use SMS/text messaging to promote SiteEngine without SiteEngine’s prior written approval and required consent.
  • Use cookie stuffing, forced clicks, hidden iframes, automatic redirects, pop-unders, adware, spyware, malware, browser extensions, toolbars, or similar tracking manipulation.
  • Use misleading links, fake buttons, fake system notices, deceptive countdowns, false scarcity, or misleading urgency.
  • Misrepresent yourself as SiteEngine or as an employee, owner, agent, or official representative of SiteEngine.
  • Operate a website or campaign that impersonates SiteEngine or creates confusion about source, sponsorship, affiliation, or endorsement.
  • Use SiteEngine trademarks, brand names, misspellings, or confusingly similar terms in domains, subdomains, usernames, account names, social handles, paid ads, metadata, hidden text, or search keywords without written approval.
  • Bid on SiteEngine branded keywords or confusingly similar keywords without SiteEngine’s written approval.
  • Advertise unavailable, expired, unauthorized, or fake coupons, discounts, credits, refunds, or promotional offers.
  • Refer yourself, your own business under another identity, your controlled entities, or accounts created primarily to generate commissions.
  • Generate fake leads, fake accounts, fake purchases, fraudulent transactions, duplicate accounts, or low-quality traffic.
  • Use incentives, rewards, cash back, rebates, or compensated clicks unless SiteEngine approves them in writing.
  • Promote SiteEngine on websites or platforms containing unlawful, infringing, deceptive, abusive, hateful, adult, exploitative, malware-related, spam-related, or otherwise unsuitable content.

8. Search Engine Marketing and Paid Ads

You may not bid on, purchase, or target SiteEngine trademarks, brand terms, misspellings, confusingly similar terms, domain names, product names, service names, or branded keywords in search advertising without SiteEngine’s prior written approval.

You may not run ads that appear to be official SiteEngine ads, imitate SiteEngine ad copy, use SiteEngine trademarks in a way that creates confusion, or direct-link paid ads through an Affiliate Link unless approved in writing.

SiteEngine may withhold commissions from traffic generated through unauthorized paid search, paid social, display advertising, retargeting, or other paid media.

9. Coupons, Discounts, and Promotional Offers

You may not publish, promote, or distribute coupons, discount codes, credits, refunds, rebates, free-service offers, or special pricing unless SiteEngine provides or approves the offer in writing.

You may not misrepresent the terms, expiration date, availability, eligibility, or value of any SiteEngine offer.

If a Referred Customer receives an unauthorized coupon, discount, credit, rebate, or incentive from you, the purchase may be disqualified and commissions may be withheld or reversed.

10. Email and Messaging

You may send email promoting SiteEngine only to recipients who have lawfully consented to receive such communications from you or where you have another valid legal basis for sending.

Your emails must include required disclosures, accurate sender information, truthful subject lines, and a working unsubscribe mechanism where required.

You may not use SiteEngine services, names, domains, or branding in spam, phishing, spoofing, purchased-list campaigns, harvested-list campaigns, or deceptive email.

SMS/text message promotion requires SiteEngine’s prior written approval and must comply with all applicable consent, opt-out, carrier, provider, TCPA, and platform requirements.

11. Affiliate Links and Tracking

You are responsible for using Affiliate Links properly.

SiteEngine is not responsible for commissions that are not tracked because of improperly formatted links, disabled cookies, browser restrictions, ad blockers, privacy tools, broken links, incorrect URLs, deleted cookies, tracking-platform errors, customer behavior, or third-party system limitations.

SiteEngine may modify, replace, expire, or disable Affiliate Links at any time.

You may not alter Affiliate Links or tracking code in a way that obscures, manipulates, inflates, or interferes with tracking.

12. Referral Window

Unless SiteEngine states a different referral window in writing, a Referred Customer must complete a Qualified Purchase within 30 days after clicking a valid Affiliate Link.

If a customer clicks links from multiple affiliates, SiteEngine may determine attribution according to its affiliate platform rules or internal tracking rules.

SiteEngine’s attribution decisions are final unless SiteEngine determines that a correction is appropriate in its sole discretion.

13. Qualified Purchases

A Qualified Purchase must meet all requirements of this Agreement and the applicable commission schedule.

A purchase is not a Qualified Purchase if:

  • The customer is not new and unique to SiteEngine.
  • The customer was already in SiteEngine’s sales pipeline, support system, CRM, client portal, or active discussions before the referral.
  • The customer was referred by another affiliate, partner, reseller, or referral source credited by SiteEngine.
  • The purchase was not tracked properly through a valid Affiliate Link.
  • The purchase was completed before you were approved for the program.
  • The customer does not provide valid account and billing information.
  • The customer fails to pay, cancels, charges back, requests a refund, or is not in good standing.
  • The purchase is fraudulent, suspicious, self-referred, duplicate, manipulated, or generated through prohibited activity.
  • The customer violates SiteEngine’s Terms of Service or other applicable policies.
  • The purchase involves unauthorized coupons, discounts, credits, rebates, incentives, or misrepresentations.
  • The purchase is for an excluded product, excluded service, pass-through cost, domain fee, third-party license, tax, setup fee, or other item excluded by SiteEngine.

14. Commission Rates

Commission rates are determined by SiteEngine and may be stated in the Affiliate Dashboard, affiliate application, written approval, commission schedule, proposal, or other written communication from SiteEngine.

SiteEngine may change commission rates, eligible services, excluded services, commission thresholds, payment schedules, referral windows, and program rules at any time.

Commission changes apply prospectively unless SiteEngine states otherwise or unless fraud, policy violation, cancellation, chargeback, or disqualification applies.

15. Commission Accrual

Commissions accrue only after SiteEngine determines that a purchase is a Qualified Purchase.

SiteEngine may delay commission accrual until the Referred Customer has remained active, paid, and in good standing for a validation period determined by SiteEngine.

Unless SiteEngine states otherwise in writing, commissions do not accrue on taxes, refunds, chargebacks, domain registrations, domain renewals, domain transfers, SSL certificates, pass-through costs, third-party licenses, third-party subscriptions, setup fees, migration fees, custom project deposits, or other excluded fees.

16. Commission Withholding and Reversal

SiteEngine may withhold, deny, cancel, reverse, deduct, offset, or recover commissions if SiteEngine determines that a purchase is not a Qualified Purchase or if fraud, abuse, misrepresentation, cancellation, refund, chargeback, nonpayment, duplicate tracking, policy violation, or prohibited promotional activity occurred.

SiteEngine may withhold commissions during fraud review, cancellation review, payment review, chargeback review, compliance review, or account investigation.

If commissions have already been paid for a purchase later refunded, charged back, cancelled, deemed fraudulent, or disqualified, SiteEngine may deduct the amount from future commissions or invoice you for repayment.

17. Commission Disputes

You are responsible for reviewing your Affiliate Dashboard, commission reports, payment status, and tracking activity.

If you dispute a commission decision, you must notify SiteEngine in writing within 45 days after the disputed sale, event, denial, reversal, or expected payment date.

Disputes submitted after that period may be denied.

SiteEngine’s commission, tracking, attribution, fraud, eligibility, and payment determinations are final unless SiteEngine determines in its sole discretion that a correction is appropriate.

18. Payment Schedule

Subject to this Agreement and any applicable affiliate platform terms, commissions may be processed after the validation period and according to the payment schedule stated by SiteEngine.

Unless SiteEngine states otherwise in writing, commissions may be processed approximately 45 to 70 days after the end of the month in which they become eligible for payment.

Payment timing may vary based on customer payment status, refund windows, chargeback risk, fraud review, payment processor timing, affiliate platform timing, tax documentation, payment threshold, or missing payment information.

19. Payment Thresholds and Methods

SiteEngine may establish minimum payment thresholds, maximum payment limits, supported payment methods, currency rules, and payment schedules.

You are responsible for keeping payment information, tax information, legal name, mailing address, email address, and payment preferences current in the Affiliate Dashboard or through SiteEngine’s approved process.

SiteEngine is not responsible for payment failure, delay, bank fees, PayPal fees, wire fees, currency conversion fees, platform fees, returned payments, incorrect account information, or failure to update payment information.

20. Tax Forms and Taxes

You are responsible for providing accurate tax documentation required by SiteEngine or its payment platform before commissions are paid.

U.S. Affiliates may be required to provide a completed Form W-9. Non-U.S. Affiliates may be required to provide an applicable Form W-8 or other tax documentation.

SiteEngine may withhold payment until required tax documentation is received and validated.

You are responsible for all taxes, reporting, filings, duties, fees, and obligations arising from commissions you receive.

SiteEngine may issue tax forms where required by law.

21. Affiliate Platform Terms

If SiteEngine uses a third-party affiliate, referral, tracking, or payment platform, your participation may also be governed by that platform’s terms, privacy policy, payment rules, tax rules, dispute rules, and technical requirements.

SiteEngine is not responsible for the availability, security, reporting accuracy, payment processing, fees, policies, account suspension, or technical behavior of any third-party affiliate platform.

If platform records conflict with SiteEngine records, SiteEngine may determine commission eligibility using the records and criteria SiteEngine considers reliable.

22. Customer Relationship

Referred Customers who purchase SiteEngine Services are SiteEngine customers.

SiteEngine controls pricing, terms, acceptance, onboarding, billing, fulfillment, refunds, cancellations, support, service changes, and customer communications.

SiteEngine may reject, refund, cancel, terminate, or refuse service to any Referred Customer in accordance with SiteEngine policies.

You have no authority to bind SiteEngine, negotiate on behalf of SiteEngine, modify SiteEngine terms, promise discounts, guarantee outcomes, or provide support on behalf of SiteEngine unless SiteEngine expressly authorizes you in writing.

23. SiteEngine Intellectual Property

Subject to this Agreement, SiteEngine grants you a limited, revocable, non-exclusive, non-transferable license to use approved SiteEngine names, logos, links, banners, screenshots, and promotional materials solely to promote SiteEngine as an approved Affiliate.

You may not alter SiteEngine trademarks, logos, trade dress, screenshots, copy, or promotional materials except as approved by SiteEngine.

You may not use SiteEngine intellectual property in a way that is misleading, disparaging, unlawful, confusing, or inconsistent with SiteEngine brand standards.

This license terminates immediately when your affiliate participation ends.

24. Affiliate Intellectual Property

You grant SiteEngine a limited, non-exclusive, worldwide license to use your name, business name, website name, logo, and trademarks as reasonably necessary to operate, promote, administer, and report on the affiliate program.

SiteEngine is not required to use your name or marks.

This license ends when your affiliate participation ends, except that SiteEngine may retain records as needed for legal, accounting, tax, reporting, fraud-prevention, dispute-resolution, and legitimate business purposes.

25. Data Protection and Privacy

You must comply with all privacy, data protection, advertising, email, SMS, and consumer-protection laws applicable to your promotional activity.

You are responsible for your own privacy notices, cookie notices, consent mechanisms, tracking disclosures, affiliate disclosures, email consent, SMS consent, and data-security practices.

You may not provide personal information to SiteEngine unless you have the right to do so.

You must assist SiteEngine with privacy requests, consent verification, complaint handling, or regulatory inquiries related to Referred Customers or affiliate activity where reasonably required.

26. Confidentiality

You may receive non-public information about SiteEngine, commission rates, customers, tracking, platform data, sales data, program rules, or business operations.

You must keep confidential information confidential and use it only to participate in the affiliate program.

Confidential information does not include information that is public, independently developed, previously known, lawfully received from a third party, or required to be disclosed by law.

27. Audit and Compliance Review

SiteEngine may review your website, promotional materials, traffic sources, disclosures, ads, email practices, social posts, tracking activity, conversion quality, cancellation rates, and compliance with this Agreement.

You agree to cooperate with reasonable compliance reviews and provide information SiteEngine reasonably requests regarding affiliate activity.

If SiteEngine determines that you are not compliant, SiteEngine may require corrections, withhold commissions, reverse commissions, suspend your account, or terminate your participation.

28. Term and Termination

This Agreement begins when you apply for or participate in the affiliate program and continues until terminated by either party.

Either party may terminate participation in the affiliate program at any time, with or without cause or notice.

SiteEngine may immediately suspend or terminate your participation for fraud, abuse, policy violation, prohibited promotional activity, legal risk, brand risk, poor-quality traffic, excessive cancellations, chargeback risk, or conduct SiteEngine determines is harmful.

29. Effect of Termination

Upon termination, you must stop using Affiliate Links, SiteEngine promotional materials, SiteEngine trademarks, SiteEngine logos, SiteEngine offers, and any content suggesting that you are an active SiteEngine Affiliate.

You are eligible to receive unpaid valid commissions only for Qualified Purchases that occurred before termination and remain valid after any applicable validation, refund, chargeback, fraud, and cancellation review.

SiteEngine may withhold final payment for a reasonable period to confirm validity of referrals and customer payments.

Commissions are forfeited for referrals generated through fraud, abuse, prohibited methods, policy violations, or breach of this Agreement.

30. Independent Contractor Relationship

You and SiteEngine are independent contractors.

This Agreement does not create an employment relationship, partnership, joint venture, franchise, agency, fiduciary relationship, reseller relationship, or exclusive relationship.

You may not make statements, promises, warranties, representations, or commitments on behalf of SiteEngine.

31. No Guarantee of Earnings

SiteEngine does not guarantee that you will earn commissions, receive traffic, generate referrals, or produce sales through the affiliate program.

Affiliate results depend on your promotional activity, audience, traffic quality, customer demand, SiteEngine acceptance, tracking, customer payment status, and many other factors.

32. Indemnification

You agree to defend, indemnify, and hold harmless SiteEngine, its owners, officers, employees, contractors, agents, affiliates, vendors, customers, and representatives from and against claims, damages, losses, liabilities, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:

  • Your affiliate activity.
  • Your website, content, ads, emails, SMS messages, social posts, reviews, rankings, or promotional materials.
  • Your violation of this Agreement or SiteEngine policies.
  • Your violation of law, regulation, platform policy, advertising rule, privacy rule, email rule, or SMS rule.
  • Your false, misleading, unauthorized, or deceptive claims.
  • Your failure to provide required disclosures.
  • Your infringement or misuse of intellectual property.
  • Your handling of personal information or customer data.
  • Fraud, abuse, spam, or prohibited promotional activity.

33. Limitation of Liability

To the maximum extent permitted by law, SiteEngine will not be liable for indirect, incidental, special, consequential, exemplary, punitive, enhanced, or lost-profit damages arising from or related to the affiliate program.

SiteEngine is not responsible for lost commissions, lost profits, lost traffic, lost rankings, tracking failures, platform outages, payment delays, customer cancellations, rejected referrals, denied commissions, or program changes.

To the maximum extent permitted by law, SiteEngine’s total liability arising from the affiliate program will not exceed the unpaid valid commissions owed to you for Qualified Purchases during the three months before the event giving rise to the claim.

34. Changes to This Agreement

SiteEngine may update this Affiliate Agreement, commission schedule, program rules, eligible services, payment methods, referral window, tracking methods, and affiliate requirements from time to time.

Updated versions will be posted on the SiteEngine website, in the Affiliate Dashboard, or otherwise provided by SiteEngine.

Your continued participation in the affiliate program after updates are posted or provided means you accept the updated terms.

35. Governing Law and Venue

This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law rules.

Unless a signed written agreement states otherwise, the state and federal courts serving Okaloosa County, Florida will have exclusive jurisdiction and venue for disputes arising from or related to this Agreement or the affiliate program.
