Section 1 — Additions to SiteEngine.io Terms of Service
The following clauses are intended to be added to your existing Terms of Service. They establish the boundary between hosting services (covered by ongoing fees) and project work (which requires a separate written Statement of Work).
1. Services Included in Hosting
The monthly or annual fees paid by Client for Hosting Services entitle Client to: server infrastructure and uptime as described on SiteEngine.io; standard server-level support; access to the hosting control panel; routine server-side maintenance (patches, security updates to the server environment, automated backups per the plan selected). Hosting Services do not include any work performed at the application level of Client’s website.
2. Standard Migration
New Hosting Services customers are entitled to one Standard Migration at no additional charge. Standard Migration is defined as:
— Transfer of WordPress files and database from Client’s prior host to SiteEngine infrastructure
— DNS update assistance and SSL provisioning on the new host
— Verification that the website loads on the new host
Standard Migration does not include, and is not a substitute for, any of the following:
— Replacement, reconfiguration, or licensing of any plugin, theme, or third-party tool
— Rebuilding integrations, automations, webhooks, or services that depend on accounts owned by Client’s prior vendor
— Transfer or recreation of analytics, advertising, search console, business profile, or social media accounts
— Phone number provisioning, porting, or call-tracking changes
— Any content, design, SEO, or page-level changes
— Resolution of issues caused by the prior vendor’s tools, configurations, or accounts becoming inaccessible
3. Additional Services
Any work outside Hosting Services and Standard Migration is considered Additional Services. Additional Services include but are not limited to: custom development; design or content work; plugin replacement or reconfiguration; lead-routing or marketing automation setup; account transfers or recreations; phone number changes; SEO work; troubleshooting issues originating outside the hosting environment; and any work necessary to restore functionality lost due to the actions or inactions of Client’s prior vendors. Additional Services require a separate written Statement of Work signed by both parties before work begins. Acceptance of these Terms of Service does not constitute authorization of Additional Services or their associated fees.
4. Inherited Sites
Where SiteEngine assumes hosting or maintenance responsibility for a website previously managed by another vendor, Client acknowledges and accepts that: (a) tools, accounts, licenses, integrations, and services configured or managed by the prior vendor may stop functioning when that relationship ends; (b) SiteEngine has no control over the prior vendor’s cooperation, timeliness, or willingness to transfer accounts and credentials; and (c) the work required to investigate, replace, or rebuild such items is Additional Services as defined above.
5. Third-Party Costs
Plugin licenses, premium services, domain registrations, transactional services, and other third-party costs incurred by SiteEngine on Client’s behalf will be invoiced at cost. Client authorizes SiteEngine to purchase such items as reasonably necessary to complete work authorized under a Statement of Work, and to be reimbursed. Where practical, SiteEngine will estimate such costs in the applicable Statement of Work; estimates are not guarantees.
6. Change Orders
Changes to the scope of an active Statement of Work require a written Change Order signed by both parties. Out-of-scope work performed without a Change Order is not authorized. SiteEngine reserves the right to decline out-of-scope requests or to perform them at its standard hourly rate upon written approval.
7. Client Responsibilities
Client agrees to:
— Respond to information and approval requests within five (5) business days
— Provide accurate information about Client’s business, services, locations, licensing, and operations
— Cooperate with prior vendors as needed for credential and account handoffs
— Maintain sole responsibility for ensuring that all content, claims, and representations published on Client’s website comply with applicable laws and regulations, including but not limited to professional licensing requirements, advertising laws, and industry-specific regulations
8. Content & Compliance Indemnification
Client represents and warrants that all content, claims, service areas, qualifications, licensing statements, and other representations provided to or maintained by SiteEngine on Client’s website are accurate and comply with applicable law. Client shall indemnify, defend, and hold harmless SiteEngine, its officers, employees, and contractors from and against any and all claims, damages, fines, penalties, settlements, and expenses (including reasonable attorneys’ fees) arising from or related to inaccurate, misleading, or non-compliant content published on Client’s website, regardless of whether such content originated with Client, a prior vendor, or was created at Client’s direction.
